Terms & Conditions

The agreement that governs our website, our services and every project we deliver.

Please read these Terms carefully before engaging CodeDigix. By using codedigix.us or our services, you agree to them. Questions? Email info@codedigix.us.

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the website codedigix.us and all services provided by CodeDigix ("CodeDigix", "we", "us" or "our"). By accessing the website, submitting an enquiry, or engaging our services, you ("Client", "you") agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree with any part of these Terms, you must not use our website or services.

2. Services Provided

CodeDigix provides technology and marketing services including, but not limited to:

  • AI automation — AI agents, chatbots, workflow automation and LLM integration.
  • Software development — web applications, SaaS platforms, mobile apps, APIs and internal tools.
  • Web design and e-commerce development.
  • Digital marketing — SEO, paid advertising, social media and content.
  • Cloud, DevOps, IT support and cybersecurity services.

The precise scope, deliverables, timeline and price of any engagement are defined in a written proposal, quotation, statement of work or service agreement ("Project Agreement"). Where a Project Agreement conflicts with these Terms, the Project Agreement prevails for that engagement.

3. Quotations and Project Scope

Quotations are based on the requirements available at the time of issue and remain valid for 30 days unless stated otherwise. Any requirement introduced after scope approval is treated as a change request and may affect cost and timeline.

  • Change requests are documented and priced in writing before implementation.
  • Timelines assume timely provision of content, access, feedback and approvals by the Client.
  • Delays caused by outstanding Client input may shift delivery dates accordingly.

4. Payment Terms

Unless otherwise agreed in writing:

  • An advance payment of 40–50% of the project value is required before work begins.
  • Remaining payments are due at defined milestones, with the final balance payable before final delivery, deployment or source-code handover.
  • Retainer and maintenance fees are billed monthly in advance.
  • Invoices are due within 7 days of issue unless a different term is specified.
  • All prices are quoted in United States Dollars (USD) and exclude taxes, duties and payment processing fees unless stated.
  • Overdue accounts may incur a late fee and result in suspension of work and services until settled.

Refunds are governed by our Refund Policy.

5. Client Responsibilities

To enable successful delivery, you agree to:

  • Provide accurate, complete and lawful information, content and materials.
  • Grant necessary access to accounts, systems, hosting and third-party platforms.
  • Nominate a primary point of contact authorised to give feedback and approvals.
  • Respond to requests for feedback or approval within a reasonable period, normally 5 business days.
  • Ensure you hold the rights to any content, trademarks or data supplied to us.
  • Comply with all applicable laws in your use of the delivered solution.

Projects inactive for more than 30 consecutive days due to lack of Client response may be archived, and reactivation may incur an additional fee.

6. Intellectual Property

Client materials. All content, trademarks, data and materials you supply remain your property. You grant us a limited licence to use them solely for delivering the agreed services.

Delivered work. Upon full and final payment, ownership of the custom deliverables produced specifically for you transfers to you, including source code and documentation created under the Project Agreement.

Pre-existing and reusable components. CodeDigix retains ownership of its pre-existing tools, frameworks, libraries, boilerplate code, methodologies and know-how. You receive a perpetual, non-exclusive licence to use these components as embedded within your deliverables.

Third-party components. Open-source and licensed third-party elements remain subject to their own licences, and you agree to comply with those terms.

Portfolio rights. Unless you request otherwise in writing, we may reference the project and display non-confidential visuals in our portfolio and marketing materials.

7. Confidentiality

Both parties agree to keep confidential any non-public business, technical or financial information disclosed during the engagement, and to use it solely for the purpose of the project. This obligation survives termination of the engagement.

Confidentiality does not apply to information that is publicly available, independently developed, lawfully received from a third party, or required to be disclosed by law. Formal non-disclosure agreements can be signed on request.

8. AI Services — Specific Terms

Where the engagement includes artificial intelligence components, you acknowledge and agree that:

  • AI systems are probabilistic and may occasionally produce inaccurate, incomplete or unexpected output.
  • Outputs should be reviewed before being relied upon for legal, financial, medical or other critical decisions.
  • You are responsible for the lawfulness of the data you provide for processing, including any required consents.
  • Third-party AI providers may change their models, pricing, availability or terms, which can affect functionality and cost.
  • Usage-based costs such as API and model credits are charged at cost and are your responsibility unless expressly included in the quotation.
  • CodeDigix is not liable for decisions made or actions taken solely on the basis of AI-generated output.

9. Warranty and Support

We warrant that services will be performed with reasonable skill and care by qualified personnel. Custom-developed deliverables include a defect warranty period of 30 days from delivery, during which reproducible bugs in the agreed scope are corrected at no charge.

The warranty does not cover new feature requests, changes to agreed scope, issues caused by Client or third-party modifications, third-party platform failures, hosting problems, or failure to apply recommended updates. Ongoing maintenance is available under a separate plan.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Services and deliverables are provided without warranties beyond those expressly stated in these Terms.
  • CodeDigix is not liable for indirect, incidental, special, consequential or punitive damages, including loss of profits, revenue, data, goodwill or business opportunity.
  • Our total aggregate liability arising from any engagement is limited to the total fees actually paid by you to CodeDigix for the specific service giving rise to the claim during the three months preceding the claim.
  • We are not responsible for failures, outages, policy changes or price changes of third-party platforms, hosting providers, API vendors or advertising networks.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

11. No Guarantee of Results

While we apply industry best practice, we do not guarantee specific business outcomes such as search engine rankings, traffic volumes, conversion rates, lead quantities, revenue figures or funding results. Digital performance depends on many factors outside our control, including market conditions, competition and third-party algorithm changes.

12. Termination

Either party may terminate an engagement by giving 15 days' written notice.

  • You remain liable for all work completed and costs incurred up to the effective termination date.
  • We may suspend or terminate immediately in the event of non-payment, abusive conduct, unlawful instructions or material breach of these Terms.
  • On termination, we will deliver completed and paid-for work in a reasonable format and revoke unrelated access.
  • Clauses relating to payment, intellectual property, confidentiality, liability and governing law survive termination.

13. Acceptable Use of Our Website

When using codedigix.us you agree not to:

  • Attempt unauthorised access to any part of the site, server or connected system.
  • Introduce malware, conduct denial-of-service attacks or otherwise disrupt the service.
  • Scrape, copy, republish or resell website content without written permission.
  • Submit false information, spam or unlawful material through our forms.
  • Use the site for any purpose that is illegal, fraudulent or infringes the rights of others.

14. Third-Party Services and Links

Our solutions frequently rely on third-party services such as hosting, cloud platforms, payment gateways, AI providers and marketing networks. Your use of those services is governed by their own terms, and their costs are your responsibility unless otherwise agreed. CodeDigix is not responsible for the availability, performance, pricing or content of third-party services or linked websites.

15. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including natural disasters, war, civil unrest, epidemics, government action, strikes, power failures, internet or infrastructure outages, cyber-attacks or the failure of critical third-party services. Affected obligations are suspended for the duration of the event.

16. Indemnification

You agree to indemnify and hold harmless CodeDigix, its owners, employees and contractors from any claims, damages, liabilities and reasonable legal costs arising from your breach of these Terms, your misuse of deliverables, or content and data you supplied that infringes the rights of a third party or violates applicable law.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. The parties agree to attempt good-faith resolution of any dispute through direct negotiation for at least 30 days before pursuing formal proceedings. Any unresolved dispute shall be subject to the exclusive jurisdiction of the competent courts of the State of Texas.

18. Changes to These Terms

We may update these Terms from time to time. The current version is always published on this page with a revision date. Material changes affecting active engagements will be communicated in writing. Continued use of our website or services after publication constitutes acceptance of the updated Terms.

19. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions continue in full force. Our failure to enforce a provision is not a waiver of that provision. These Terms, together with the applicable Project Agreement, Privacy Policy and Refund Policy, constitute the entire agreement between the parties and supersede all prior discussions.
